VETGUIDE – TERMS OF USE (GLOBAL VERSION)

1. About these Terms

These Terms of Use (“Terms”) govern your access to and use of the VETGUIDE mobile application and related services (collectively, the “App” or “Service”), operated by VETGUIDE LTDA (“VETGUIDE”, “we”, “us” or “our”).

By creating an account, accessing or using the App, you acknowledge that you have read, understood and agree to be bound by these Terms and by our Privacy Notice, which is incorporated by reference.

If you do not agree with these Terms or with the Privacy Notice, you must not use the App.

2. The Service

2.1. Purpose of the App
VETGUIDE is an educational and decision-support tool designed to provide veterinary medical content to support veterinary professionals and students in their daily clinical practice. The App offers, among other things:

• Summaries of clinical procedures and protocols;
• Emergency guides and calculators;
• Scores, checklists and practical tools;
• Content in various veterinary specialties;
• A functionality based on artificial intelligence (AI) that may suggest differential diagnoses, complementary exams and initial approaches based on information you provide and on the content available in the App.

2.2. No clinical service / no veterinary–patient relationship
Although VETGUIDE was developed by qualified veterinary professionals, VETGUIDE is not a veterinary clinic and does not provide veterinary care or telemedicine services. The App does not replace:

• A physical examination of the animal;
• Professional judgment of a licensed veterinarian;
• Local regulations, clinical guidelines or protocols required in your country.

Any decisions regarding diagnosis, treatment, prescription or other clinical acts are your sole responsibility as a professional. The App is for informational and educational purposes only.

2.3. AI feature and limitations
The AI feature uses models provided by third parties (such as OpenAI’s ChatGPT) to process the information you submit and generate suggestions. These suggestions:

• Are automatically generated;
• May be incomplete, inaccurate or outdated;
• Must always be critically reviewed and validated by a qualified professional before being used in practice.

You remain fully responsible for any decisions you make based on AI outputs.

3. Eligibility and Accounts

3.1. Eligibility
The App is intended for:

• Veterinary medicine students; and
• Licensed veterinary professionals,

subject to the laws of each country. By using the App, you confirm that you have the legal capacity to enter into these Terms and that you comply with any professional or age requirements in your jurisdiction.

3.2. Account creation
To use certain features, you must create an account, providing accurate, current and complete information, and keep it up to date.

3.3. Account security
You are responsible for:

• Maintaining the confidentiality of your login credentials; and
• All activities that occur under your account.

Notify us immediately of any unauthorized use or suspected breach of security.

4. Free and Paid Features – Subscriptions

4.1. Freemium model
The App is offered under a freemium model:

• Some content is available for free;
• Additional content and features are available through paid subscription plans (“Subscription”).

4.2. App Store / Google Play
Subscriptions are purchased and managed through third-party platforms such as Apple App Store and Google Play Store (collectively, “App Stores”). The billing, payment methods, invoices and, in many cases, refunds and cancellations are handled directly by the App Stores, under their own terms and policies.

4.3. Auto-renewal
Unless you cancel your Subscription in accordance with the rules of the relevant App Store, your Subscription may automatically renew at the end of each billing period, and you authorize the App Store to charge the applicable fees.

4.4. Prices and taxes
Subscription prices and available plans may vary by region and currency. Applicable taxes may be added as required by local law.

5. Cancellations and Refunds

5.1. How to cancel
You may cancel your Subscription at any time via your App Store account settings (for example, in the “Manage Subscription” / “My Subscriptions” area). In some cases, cancellation options may also be accessible through the App, redirecting you to the App Store.

5.2. Refunds
Refunds are generally managed according to the policies of the App Stores and mandatory consumer protection laws in your country. In many jurisdictions, you may have a statutory “cooling-off” period for online purchases. Please refer to:

• The terms, conditions and refund policies of the relevant App Store; and
• The consumer protection laws applicable in your country.

We do not process card data directly and typically cannot issue refunds outside the mechanisms provided by the App Stores, except when strictly required by applicable law.

6. User Responsibilities and Acceptable Use

6.1. You agree to:

• Use the App in accordance with these Terms and applicable laws;
• Provide accurate information when creating and updating your account;
• Use your own professional judgment when interpreting and applying the content and AI suggestions.

6.2. You must not:

• Use the App for unlawful purposes, including any violation of local veterinary, animal welfare, pharmaceutical or data protection laws;
• Use the App to provide veterinary services in jurisdictions where you are not authorized;
• Attempt to reverse engineer, decompile, hack or otherwise interfere with the App’s operation or security;
• Infringe intellectual property rights of VETGUIDE or third parties;
• Upload or share content that is illegal, harmful, discriminatory, defamatory, abusive or violates third-party rights;
• Use the App to train competing models or services without our prior written authorization.

We may suspend or terminate your access if we reasonably believe you are violating these Terms or applicable law.

7. Intellectual Property

7.1. Our content
All content made available through the App, including but not limited to:

• Texts, images, graphics, logos, names, designs, layouts, databases, software, and
• AI-based tools and related outputs (to the extent generated from and/or curated by our content),

is owned by VETGUIDE or licensed to VETGUIDE and is protected by applicable intellectual property laws and international treaties.

7.2. License to use the App
Subject to your compliance with these Terms, VETGUIDE grants you a personal, limited, non-exclusive, non-transferable and revocable license to use the App for your own educational and professional support purposes.

7.3. Restrictions
You may not:

• Copy, reproduce, modify, adapt, translate, create derivative works, distribute, sell, rent or exploit the App or its content, except as expressly authorized in writing;
• Use any automated means (bots, scrapers, crawlers) to access the App;
• Remove or alter any copyright, trademark or proprietary notices.

8. Third-Party Services

8.1. App Stores and payment services
Your use of the App Stores and payment systems is governed by the terms, privacy policies and conditions of those third parties. We are not responsible for the availability or performance of their services.

8.2. AI providers and other processors
The AI feature and certain functionalities depend on third-party providers such as OpenAI. The processing of your data by these providers is subject to their own terms and privacy policies, in addition to ours. We select processors that offer adequate guarantees of security and compliance, as described in our Privacy Notice.

8.3. Links to third-party sites
The App may contain links to websites or resources of third parties. We do not endorse and are not responsible for the content, products or services of those third parties. Use them at your own risk and always review their terms and privacy policies.

9. Privacy and Personal Data

Your use of the App involves the processing of your personal data. This is described in detail in our Privacy Notice, which forms an integral part of these Terms. By using the App, you acknowledge that you have read and understood the Privacy Notice.

10. Disclaimers

To the maximum extent permitted by applicable law:

• The App is provided on an “as is” and “as available” basis;
• We do not warrant that the App will be uninterrupted, secure, error-free or fully accurate;
• We do not warrant that the content or AI outputs are suitable for any specific clinical case, jurisdiction or regulatory context.

You are solely responsible for:

• Evaluating the adequacy of the information provided;
• Complying with local professional and regulatory requirements;
• Any decisions or actions taken based on the contents of the App or AI suggestions.

11. Limitation of Liability

To the maximum extent permitted by applicable law, VETGUIDE, its partners, officers, employees and contractors shall not be liable for:

• Loss of profits, revenue, data, goodwill, business opportunities; or
• Indirect, consequential, special, incidental or punitive damages,

arising out of or in connection with your use of (or inability to use) the App, even if we have been advised of the possibility of such damages.

Where limitation or exclusion of liability is not allowed by law, our aggregate liability to you for any claim arising out of or relating to the App or these Terms shall not exceed the total amount paid by you to VETGUIDE for the Subscription during the 12 months preceding the event giving rise to the claim.

12. Changes to the App and to these Terms

We may update the App, its functionalities and these Terms from time to time, for example to reflect:

• Improvements or new features;
• Changes in our business;
• Changes in applicable laws or regulations.

When changes are material, we will notify you by appropriate means (for example, via in-App notice or email). Continued use of the App after the effective date of the updated Terms constitutes your acceptance. When required by law, we will ask for your explicit consent.

13. Governing Law and Dispute Resolution

13.1. Governing law
These Terms and any dispute arising out of or relating to them shall be governed by the laws of the Federative Republic of Brazil, without prejudice to any mandatory consumer protection rules or data protection rights that may apply in your country of residence.

13.2. Jurisdiction
The courts of Curitiba, State of Paraná, Brazil, shall have jurisdiction to settle any dispute arising out of or in connection with these Terms, and the parties waive any other jurisdiction, unless otherwise required by mandatory law in your country of residence.
